1. Acceptance of Terms

By downloading, installing, or using Scholium (“the app”), you agree to these Terms of Service. If you do not agree, do not use the app.

2. What Scholium Is

Scholium is a personal note-taking and archive application designed for individual use. It is:

• • A tool for organizing and retrieving your own notes
• • A workspace for structured tools, drafts, and archive recall
• • Not a substitute for your own judgment or review

3. Your Account

1. 3.1 You must provide accurate information when creating an account.
2. 3.2 You are responsible for maintaining the security of your account and passphrase.
3. 3.3 You may not share your account or use the app on behalf of another person without their knowledge.
4. 3.4 You must be 13 or older to use Scholium.

4. Your Content

1. 4.1 You own your notes. Scholium does not claim any ownership over content you create.
2. 4.2 By enabling cloud sync, you grant Scholium a limited, non-exclusive license to store and transmit your content solely for the purpose of providing the sync service.
3. 4.3 You are responsible for the accuracy, legality, and appropriateness of your content.
4. 4.4 Do not use Scholium to store content that violates any applicable law.

5. Subscriptions & Billing

1. 5.1 Scholium offers Free, Pro, and Scholar tiers. Pro is available monthly ($7.99/month) or annually ($79.99/year). Scholar is available monthly ($19.99/month) or annually ($174.99/year), billed via Apple In-App Purchase.
2. 5.2 We may also offer limited lifetime deals through approved checkout partners. Those purchases are one-time payments tied to the specific product purchased.
3. 5.3 Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
4. 5.4 To cancel, go to your Apple ID settings. Scholium cannot process refunds for Apple purchases. Contact Apple for refund requests.
5. 5.5 Prices may change. We will notify active subscribers with reasonable advance notice.

6. Acceptable Use

You agree not to:

• • Use Scholium to store or distribute illegal content
• • Attempt to reverse-engineer, decompile, or tamper with the app
• • Circumvent any subscription restrictions
• • Use the app to violate any third party's rights

7. AI Features & Limitations

1. 7.1 Scholium uses on-device machine learning (Apple NLP) and optionally connects to third-party LLM providers you configure.
2. 7.2 AI outputs are generated suggestions. They may be incomplete, inaccurate, or contextually inappropriate.
3. 7.3 Do not rely on AI outputs for decisions that require independent verification or any high-stakes judgment. Always apply your own review.
4. 7.4 When you use a third-party LLM (Groq, OpenAI, Anthropic), your note content is sent to that provider per their terms and privacy policy.

8. Privacy

Your use of Scholium is governed by our Privacy Policy. By using the app, you agree to the data practices described there.

9. Intellectual Property

The Scholium name, Scribe Owl logo, branding, and app design are our intellectual property. You may not use them without written permission. The underlying app code is proprietary.

10. Disclaimer of Warranties

Scholium is provided “as is” without warranty of any kind. We do not warrant that the app will be uninterrupted, error-free, or that your data will never be lost. You use Scholium at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Scholium and its creators are not liable for any indirect, incidental, special, or consequential damages arising from your use of the app, including data loss, professional consequences, or reliance on AI outputs.

12. Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

13. Changes to Terms

We may update these terms. Material changes will be announced in-app. Continued use after changes constitutes acceptance.
